Terms of Service.

These Terms of Service ("Terms") govern your use of the ShopTopia platform ("Platform", "Service", "we") operated by PT ShopTopia Indonesia ("ShopTopia"). By registering, accessing, or using the Service, you ("User", "Seller") confirm you have read, understood, and agree to be fully bound by these Terms.

If you do not agree with these Terms, do not use the Service. Continued use after changes constitutes acceptance of the updated version.

Platform / Service

The ShopTopia web application at shoptopia.app, its sub-domains, APIs, and related services we provide.

Seller

A user who registers an account to operate a store on the Platform.

Buyer

A visitor who makes a purchase at a Seller’s store via the Platform.

Store

The public storefront created by a Seller via the Platform.

Content

Photos, text, video, descriptions, and other materials uploaded by a Seller.

Account

A Seller’s digital identity on the Platform, accessed via a verified WhatsApp number.

To open a store on ShopTopia, you must:

• Be at least 17 years old, or have written permission from a legal guardian if younger.
• Provide identity, contact, and store data that is accurate, complete, and current.
• Keep your account credentials (WhatsApp number + OTP) confidential. All activity from your account is treated as performed by you.
• Notify us by email immediately if you suspect unauthorized access to your account.
• Not create multiple accounts to circumvent restrictions or suspensions.

ShopTopia provides, but is not limited to:

• Storefront creation with a unique URL shoptopia.app/yourshop or a custom domain (select tiers).
• Product, variant, stock, and category management.
• Order processing and recording, including WhatsApp checkout.
• Online payment integration via third-party providers (e.g. Xendit, Stripe).
• WhatsApp notifications for Sellers and Buyers.
• Sales analytics and operational summaries.

ShopTopia may add, change, or discontinue features at any time. For material changes affecting paid Sellers, we will give at least 14 days’ notice before the change takes effect.

We aim for ≥ 99.5% monthly uptime for paid Users. This is an operational commitment, not a guarantee, and does not entitle automatic compensation unless stated in a separate Enterprise SLA.

Pro and Business support is available via WhatsApp and email on business days, 09:00–18:00 WIB. Average response within one business day.

ShopTopia public tiers and prices:

• Free: Rp 0/month, basic features.
• Pro: Rp 99,000/month (or Rp 79,200/month equivalent if billed annually).
• Business: Rp 299,000/month (or Rp 239,200/month equivalent if billed annually).
• Enterprise: custom pricing per a separate order form.

Prices exclude applicable 11% VAT unless stated otherwise. Payment is in advance for each period (monthly/annual). Renewal is auto-charged via Xendit on the renewal date unless you cancel auto-renew first. ShopTopia does not take a per-sale commission from your sales.

We do not refund partial subscription periods already running. Cancellation stops the next renewal. The 7-day Pro trial is not charged if you cancel before day 7.

Payments from Buyer to Seller are facilitated by third-party providers (Xendit for Indonesia, Stripe for international) or directly via WhatsApp (manual bank transfer). Proceeds from online sales are routed straight to the Seller’s bank account registered with the respective payment provider. ShopTopia does not hold or custody your sales proceeds.

Payment-provider gateway fees (e.g. ~2% Xendit) apply per transaction and are charged by the provider, separately from ShopTopia’s subscription. Sellers are responsible for refunds, disputes, or chargebacks arising from transactions, in line with each provider’s policy.

As a Seller, you agree to:

• Display product description, price, stock, photos, and condition accurately and without deception.
• Fulfill orders on time per your commitment to Buyers, including handling complaints, returns, and refunds.
• Comply with all applicable laws, including consumer protection, UU PDP (data), UU ITE (electronic information), copyright law, halal/BPOM rules if relevant, and tax regulations.
• Hold the business permits (NIB/SIUP) required by the nature of your business.
• Pay applicable taxes (income tax, VAT where due) on your sales. ShopTopia is not a tax withholder on your sales.
• Not use the Platform for fraud, money laundering, or activities that violate international sanctions.

You may not sell, list, or promote on the Platform:

• Illegal goods, stolen goods, or proceeds of crime.
• Narcotics, precursors, and prohibited psychoactive substances.
• Firearms, ammunition, explosives, and prohibited replicas.
• Counterfeit, pirated, or IP-infringing goods.
• Pornography, child-exploitation material, and discriminatory content prohibited by UU ITE.
• Prescription drugs, supplements, or cosmetics without BPOM authorization.
• Unlicensed financial services (e.g. lending, investment, illegal financial services without OJK approval).
• Pyramid schemes, money games, or non-compliant multi-level sales.
• Cryptocurrencies and digital assets prohibited from sale under Indonesian regulation.
• Protected animals or banned wildlife-derived products.

The ShopTopia Platform, including its logo, marks, code, design, and templates, belongs to ShopTopia or its licensors, protected by copyright, trademark, and related laws. You may not copy, modify, distribute, reverse-engineer, or sell the Platform without written permission.

Content you upload remains yours. By uploading, you grant ShopTopia a non-exclusive, royalty-free, worldwide license to store, display, distribute, and optimize that Content solely to operate and promote the Service. This license ends when the Content is deleted, except for backups legally required to retain.

If you are an IP rights holder and believe Content on the Platform infringes your rights, send a takedown claim to legal@shoptopia.id including proof of ownership and the URL of the Content in question.

You represent that you are not a party on any national or international sanctions list (UN, OFAC, UK, EU). You will not use the Platform for transactions that violate the Indonesian Anti-Money Laundering Act (UU TPPU). ShopTopia reserves the right to report suspected money-laundering activity to PPATK as required by law.

Personal data processing is governed by a separate Privacy Policy that forms an inseparable part of these Terms. See /privacy for details on data categories, legal basis, retention, data subject rights under UU PDP, and the Data Protection Officer (DPO) contact.

ShopTopia is a technology platform facilitating the connection between Sellers and Buyers. To the extent permitted by law, ShopTopia is not responsible for:

• The quality, legality, safety, or authenticity of products sold by Sellers.
• Delivery delays, failures, or unmet Buyer expectations.
• Errors by third-party providers (payment gateways, couriers, WhatsApp, hosting).
• Loss of profits, loss of data, indirect, incidental, or consequential damages.

ShopTopia’s total maximum liability to you for all claims arising under these Terms is limited to the subscription fees you paid to ShopTopia in the 12 months preceding the claim.

You agree to release, defend, and indemnify ShopTopia, its shareholders, directors, employees, and agents from all claims, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms, (b) your breach of the law, (c) your Content, or (d) disputes between you and Buyers.

ShopTopia is not liable for failure or delay in performance under these Terms due to causes beyond its reasonable control, including acts of God, war, pandemic, government acts, regional power outages, internet disruption, or third-party infrastructure failures.

ShopTopia may suspend or terminate your account, with or without notice, if:

• You violate these Terms, applicable law, or third-party rights.
• We receive significant complaints from Buyers or authorities.
• The account is detected engaging in fraud, abnormal chargebacks, or other harmful activity.
• A free account is inactive for more than 12 consecutive months.

You may terminate your account any time from the settings page. After termination, Service access ends; store data can be exported as CSV for 30 days before permanent deletion, except where retained longer to meet legal or tax obligations.

Any dispute arising out of or relating to these Terms shall be resolved in the following order:

1. Good-faith negotiation for 30 business days from the other party’s written notice.
2. Non-binding mediation through a mutually agreed mediator, costs split equally.
3. Final and binding arbitration at the Indonesian National Board of Arbitration (BANI), Jakarta, with one arbitrator, in Indonesian language.

For matters that cannot be arbitrated under Indonesian law (e.g. interim relief applications), the court of jurisdiction is Pengadilan Negeri Jakarta Selatan.

These Terms are governed by, interpreted under, and enforced in accordance with the laws of the Republic of Indonesia, without regard to conflict-of-law principles.

We may update these Terms from time to time. For material changes, we will notify you by email or on the Platform at least 14 days before the change takes effect. Using the Service after the effective date means you accept the updated version. If you do not agree, you must stop using and/or cancel your subscription before the effective date.

• Severability, if any clause is held invalid, the remaining clauses stay in effect.
• No waiver, our failure to enforce a right is not a waiver of that right.
• Entire agreement, these Terms, with the Privacy Policy and referenced documents, constitute the entire agreement between you and ShopTopia regarding the Service.
• Assignment, you may not assign rights/obligations under these Terms without our written consent. We may assign to an affiliate or successor in a corporate action.
• Language, in case of any conflict between the Indonesian and English versions of these Terms, the Indonesian version prevails.
